Compliance of UBO on FORM 45

Form 45 for UBO compliance required by SECP. I’m putting this up to help others who are seeking the same information.

Step 1: The form is not available on the SECP e-services so you need to download it from this link.

FORM-45-Declaration-of-compliance-with-the-provisions-of-section-123A-of-the-Companies-Act-2017

Step 2: Fill the form and also you may be required to draft a simple cover letter that would just state that you are submitting the form 45 to CRO office for compliance.

Step 3: If you have not yet filed Form A and Form 29 then you have to first create a challan and pay the fee for Form A and 29. Since the due date of Form A and Form 29 is already expired so the fee of Form A and Form 29 will be double (i.e. based on your company’s capital).

In case you already had submitted Form A and Form 29 then for Form 45 manual submission you are again required to pay the submission fee of Form A and Form 29 with penalty (i.e. double fees)

Step 4: Take the copy of paid challan and filled Form 45 with cover letter and submit or post it to your relevant CRO office.
